1. Services Overview

Shokken provides a mobile waitlist management application designed for restaurants and hospitality establishments. Our services include:

• Waitlist creation and management for host stands
• SMS notifications to guests about their waitlist status
• Guest tracking and queue organization tools
• Related support and documentation

2. Eligibility

To use Shokken, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to bind any business entity on whose behalf you use the service
• Not be prohibited from using such services under applicable law

3. Account Registration

To access certain features of Shokken, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your login credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree to use Shokken only for lawful purposes and in accordance with these Terms. You may not:

• Use the service to send marketing, promotional, or spam messages
• Violate any applicable laws, including telecommunications regulations
• Collect or harvest personal information without proper consent
• Interfere with or disrupt the service or its infrastructure
• Attempt to gain unauthorized access to any part of the service
• Use the service in any way that could harm Shokken or its users

5. SMS Messaging Compliance

When using Shokken's SMS features, you are responsible for:

• Obtaining proper verbal consent from guests before adding them to your waitlist with SMS notifications enabled
• Following the opt-in script provided in our SMS Consent documentation
• Honoring all opt-out requests promptly
• Using SMS features only for transactional waitlist updates, not marketing
• Complying with all applicable telecommunications laws and carrier guidelines

6. Guest Data and Privacy

As a host using Shokken, you input guest information into our system. You represent and warrant that:

• You have the right to collect and share guest information with Shokken
• You will handle guest data in compliance with applicable privacy laws
• You will inform guests how their data will be used when they join your waitlist

7. Subscription and Pricing

Shokken offers various subscription tiers. Current pricing and features are available within the app and on our website.

• Pilot phase: During our initial pilot, qualifying users may access Shokken at no charge. Pricing may be introduced at any time.
• Founding members: A limited number of early adopters may be designated as founding members at our discretion. Founding members receive free service through December 31, 2026 (subject to fair use) and a permanent discount on the then-prevailing general market rates once paid plans are introduced.
• Fair use: Free access during the founding period is subject to reasonable usage limits. We reserve the right to restrict or terminate accounts that exhibit abusive or excessive usage patterns.

8. Intellectual Property

The Shokken application, including its design, features, content, and trademarks, is owned by Endian Tribe LLC. You may not:

• Copy, modify, or create derivative works based on our service
• Reverse engineer, decompile, or disassemble any part of the application
• Remove any proprietary notices or labels
• Use our trademarks without prior written permission

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable notice
• Temporarily suspend service for emergency maintenance
• Modify, update, or discontinue features at our discretion

We are not liable for any downtime, delays, or service interruptions.

10. Disclaimer of Warranties

SHOKKEN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be error-free, secure, or available at all times. Your use of Shokken is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENDIAN TRIBE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF SHOKKEN.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Endian Tribe LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of Shokken
• Your violation of these Terms
• Your violation of any rights of third parties
• Any guest data you input into the service

13. Termination

You may stop using Shokken at any time. We may suspend or terminate your access if:

• You violate these Terms
• We are required to do so by law
• We decide to discontinue the service (with reasonable notice)

Upon termination, your right to use Shokken ends immediately. You may request export of your data before termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Shokken shall be resolved through binding arbitration in Las Vegas, Nevada, except that either party may seek injunctive relief in court for intellectual property matters.

15. Changes to Terms

We may modify these Terms from time to time. When we make material changes, we will notify you through the app or by email. Your continued use of Shokken after the effective date constitutes acceptance of the revised Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Shokken regarding the service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive future enforcement.
• Assignment: You may not assign your rights under these Terms without our consent.
